Client Responsibilities

As a client, you agree to:

• Respond to requests for information or approvals in a timely manner
• Provide access to necessary accounts, platforms, and assets as needed
• Ensure you have the legal right to use any content, logos, or materials you provide
• Review and approve deliverables within agreed-upon timeframes

Payment Terms

The following payment terms apply to our services:

• Payment terms will be outlined in your specific service agreement or proposal
• For project-based work, a deposit is typically required before work begins
• Monthly retainer services are billed at the beginning of each month
• Invoices are due within 15 days of receipt unless otherwise specified
• Late payments may incur a late fee of 1.5% per month
• We reserve the right to pause work on accounts with outstanding balances

Intellectual Property

Our Work

Upon full payment, you will own the final deliverables created specifically for your project (website files, copy, graphics, etc.). We retain the right to display completed work in our portfolio and use it for promotional purposes.

Third-Party Assets

Some projects may include third-party assets (stock photos, fonts, plugins) that are subject to their own license terms. We will inform you of any such assets and their associated licenses.

Your Content

You retain ownership of any content, logos, or materials you provide to us. You grant us a license to use these materials solely for the purpose of providing our services.

No Guarantees

While we use industry best practices and proven strategies, we cannot guarantee specific results such as search engine rankings, traffic numbers, or conversion rates. SEO and digital marketing results depend on many factors outside our control, including search engine algorithm changes, competitor actions, and market conditions.

Limitation of Liability

To the maximum extent permitted by law, Eighty Six Strategies shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities. Our total liability for any claim arising from our services shall not exceed the amount paid by you for the specific service giving rise to the claim.

Indemnification

You agree to indemnify and hold harmless Eighty Six Strategies, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of our services, your breach of these terms, or your violation of any third-party rights.

Termination

Either party may terminate ongoing services with written notice as specified in the service agreement. Upon termination:

• You are responsible for payment of all services rendered up to the termination date
• We will provide reasonable transition assistance to transfer assets and access
• Any unused retainer fees may be refunded on a pro-rata basis, minus work already completed

Confidentiality

We will treat all non-public information you share with us as confidential and will not disclose it to third parties without your consent, except as required by law or as necessary to provide our services.

Website Use

When using our website, you agree not to:

• Use the website for any unlawful purpose
• Attempt to gain unauthorized access to our systems
• Transmit any viruses, malware, or harmful code
• Scrape or collect data from the website without permission

Governing Law
